InterGen Completes Acquisition of Two Mexico Facilities

Burlington, MA, October 8, 2008 – InterGen announced today the completion of its purchase of the 252 MW Campeche facility and the 259 MW Chihuahua facility, both in Mexico, from TransAlta Corporation.

The final purchase price for the portfolio was $303.5 million and the transaction was funded by a combination of InterGen equity and limited recourse debt.

Campeche is located at Palizada in the State of Campeche in the Yucatan Peninsula, and Chihuahua is located in the highly industrial border region of Juarez, just south of the U.S./Mexico border. Both combined-cycle projects began operations in 2003 and are fully contracted with 25-year power purchase agreements with Comisión Federal de Electricidad, the Mexican national utility.

With the addition of Campeche and Chihuahua, InterGen now owns and operates four facilities in Mexico, totaling 2,211 MW, and is welcoming nearly 80 TransAlta staff.

InterGen is a global power generation firm with 11 power plants representing an equity share of 5,791 MW of production capacity. InterGen’s plants are located in the UK, the Netherlands, Mexico, the Philippines and Australia. Additionally, InterGen’s 428 MW MaasStroom Energie Project, located in the Netherlands, is currently under construction. InterGen is jointly owned by the Ontario Teachers' Pension Plan and AIG Highstar Capital II, L.P.
